Service Terms and Conditions
By approving any quote and/or ordering our services, you agree to be bound by these Terms. These terms apply to any service provided to the applicant, hereinafter referred to as the “Client,” by Other Planet Studio (Business ID 558300778), hereinafter referred to as the “Studio.”
Any price quote or price list sent to a customer is valid for 15 business days from the date of issuance.
Rights and Obligations of the Parties
- The Studio undertakes to perform all work in accordance with the service description and/or the Client’s order.
- The Studio will only begin scheduling work or performing tasks once the deposit or full payment has been made, except for established customers with whom special arrangements have been made.
- The Studio undertakes to deliver the results of the work to the Client, provided the Client fulfills their obligations in accordance with these Terms.
- The Client is obligated to make all payments in full and on time, subject to the price list, agreements communicated with the Studio, and these Terms.
- The Client is responsible for providing the Studio with all information, materials, and other necessary data required for the proper execution of the work.
- If the Client appoints another person or entity to manage the project, that person or entity will assume the same rights and obligations as the Client.
Pricing Models
The Studio offers two pricing models: fixed-price services and hourly billing.
Fixed-Price Services
For certain services, the Studio offers a fixed price, which includes the full scope of work and the delivered results as specified in the price list or price quote. This price generally includes a specified number of revisions as part of the service. If the Client requests additional revisions beyond those included, or if the scope of the project changes, the Studio will inform the Client of any additional costs before proceeding.Hourly Billing
For tasks billed by the hour, the Studio will provide the Client with an estimated number of hours required for the project. This estimate will be used to calculate a 50% deposit, which must be paid before the work begins. After the project is completed, the remaining payment will be calculated based on the actual hours worked, including time spent on revisions. There is no limit on the number of revisions; however, all revisions are part of the billable hours.Despite all efforts to be accurate, the actual time to complete the work may differ, sometimes significantly. If at any point the Studio anticipates that the project will require more than 10% additional time beyond the initial estimate, the Studio will notify the Client and negotiate the revised scope and cost before proceeding.
Payment Terms
- Payments are accepted by bank transfer, with other options available upon request. Additional fees may apply if alternative payment methods are used.
- The standard payment terms are Net 7 (the invoice is expected to be paid within 7 calendar days). If the Client wishes to negotiate other terms, this must be agreed upon in advance with the Studio. Changing the payment terms may affect the price of the service.
- Once work has begun and deposits have been paid, refunds will not be issued unless explicitly agreed upon in writing. If the Client wishes to cancel a project after work has begun, they will be responsible for compensating the Studio for the work completed up to the point of cancellation, including any non-recoverable costs incurred.
- Upon delivering the final project for the Client’s review, the Studio will issue the invoice for the remaining balance (if applicable). Revisions (if required) will only be processed after the full payment has been made. More info about revisions is below (see “Delivery, Acceptance, and Revisions”).
- The Studio will not grant any usage rights until the full payment has been received, unless specifically agreed otherwise in writing.
- Images/videos delivered for review by the Client will contain watermarks, which will be removed upon full payment. Watermarked images are for review purposes only and must not be used for any internal or external purposes, including presentations, internal planning, or testing. Violations of this could result in legal consequences or additional fees.
- Any third-party materials that incur additional costs, such as stock photos, illustrations, fonts, icons, or other resources listed in the scope of work sent via email, will be added to the total payment after coordination with the Client. If these materials are already included in the service, this will be explicitly stated in the price list or price quote for that service.
Services Involving Client-Supplied Products
(Photography, Videography, etc.)
- The Client will provide the products in the best possible condition. If possible, the Client will send two identical products to allow the Studio to choose the best one for the work. If the product arrives in damaged condition and extra retouching or restoration is required, the Studio will inform the Client about any additional charges that may apply.
- The Studio will document the condition of the product upon arrival by taking photos or videos. This documentation will serve as a reference in case of any disputes regarding the condition of the product upon return.
- If the product provided by the Client is fragile or perishable, the Client must inform the Studio in advance and provide specific handling instructions. The Studio will follow the provided instructions but cannot guarantee the product’s condition if it deteriorates naturally over time.
- The Studio will take reasonable steps to safeguard the Client’s property. However, the Studio will not be responsible for any loss or damage of any kind caused to the Client’s property by third parties or force majeure (e.g., fire, flood, or break-in).
- If the Client supplies valuable or high-risk products (e.g., luxury items, electronics), it is the Client’s responsibility to insure those items during the time they are in the possession of the Studio. The Studio is not liable for damage or loss of uninsured items beyond reasonable precautions.
- The session (photo, video, or other) will be scheduled for the first available date, subject to the booking queue at the Studio. The work will not necessarily be performed on the day the Studio receives the products.
- It is the Client’s responsibility to collect their products from the Studio no later than one month after the completion of the project. If no arrangement is made with the Client, the Studio reserves the right to donate the product to charity or dispose of it after 31 days.
- If the Client requires the product to be returned via shipping, the Client is responsible for covering the shipping costs and insurance, if applicable. The Studio will package the product with reasonable care but will not be responsible for damages caused during shipping.
Services Not Involving Physical Products
(Graphic Design, Digital Work, etc.)
- The Client is responsible for providing all necessary materials, assets, and information (e.g., logos, images, text) in a timely manner for the proper execution of the project. The Studio will not be responsible for any delays caused by late or incomplete submission of these materials.
- The Client guarantees that all materials provided to the Studio (referred to as “informative materials”) are either owned by the Client or that the Client holds the necessary rights or licenses to use them. The materials must not infringe on the intellectual property rights of any third party. If the Client does not hold the rights to use any provided materials, they must obtain written permission from the rightful owner before submitting them to the Studio.
- If any claims or lawsuits arise against the Studio regarding copyright infringement due to the use of the materials provided by the Client, the Client agrees to cooperate fully with the Studio to resolve the dispute, including taking actions to mitigate damages.
- The project may include different stages (e.g., concept sketches, draft designs, final designs). The Client must approve each stage before the Studio proceeds to the next. Once a stage is approved, any major changes to the previously approved design may incur additional costs.
- The Studio will use industry-standard software for design projects (e.g., Adobe Illustrator, Photoshop). The Client is responsible for ensuring that the final deliverables are compatible with their intended platforms, such as printing companies or web services. Any additional work required to adjust the files for different specifications post-delivery may result in extra charges.
- The Studio will retain project files for up to two months after final delivery. After this period, the Studio is not responsible for storing or retrieving project files unless explicitly agreed upon in writing. If the Client requires files after this period, additional fees may apply for file recovery or re-creation.
- If the project requires the use of stock assets (e.g., stock photos, licensed fonts, or icons) beyond what the Client provides, the Studio will notify the Client, and the associated costs will be added to the project’s final invoice. The Client must approve any stock asset costs before purchase.
- The Studio will work to ensure color accuracy in digital deliverables, but actual colors may vary depending on the display or printing method. The Studio is not liable for discrepancies in color reproduction on different screens or printing processes unless a color calibration service is specifically agreed upon.
- If the Client requires the design to meet specific accessibility standards (e.g., for web use such as WCAG compliance), this must be communicated before the project begins. Accessibility adjustments beyond the standard design scope may result in additional costs.
- If the design work is intended to be integrated with third-party developers (e.g., web developers or app developers), the Studio will provide the deliverables in the agreed-upon format. Any additional consultation or file adjustment required by the third-party team after the project’s conclusion may incur additional charges.
On-Location Sessions
- The Client is responsible for obtaining any necessary permits, permissions, or access rights to the location where the services are to take place. The Studio is not liable for delays or additional costs if access is denied or permits are not obtained.
- Any travel expenses incurred by the Studio or its team for services on location (e.g., transportation, accommodation, meals) will be billed to the Client. These expenses will be discussed and agreed upon in advance, and the Studio will provide receipts for all charges where applicable. The standard fee for travel, transportation, and setup of the studio gear is $300 (in central Israel only). For other regions and abroad, please request a custom price quote.
- The Client must ensure that the location is safe and has adequate power supply (if required) for the Studio’s equipment. The Studio is not responsible for delays or failures caused by inadequate safety conditions or lack of necessary facilities (e.g., electrical outlets, lighting).
- In the case of outdoor shoots or services, the Studio is not responsible for delays or cancellations caused by unfavorable weather conditions. The Client may reschedule, but additional fees may apply depending on the notice given and the rescheduling process.
- The Studio reserves the right to take reasonable breaks during the session, especially for extended projects. If the session exceeds the agreed-upon time, overtime charges will apply, which must be agreed upon in advance or during the session if applicable.
- The Studio is not liable for any damage to the Client’s property during the session, provided the team takes reasonable precautions. The Client should ensure that the location is adequately prepared and that fragile or valuable items are secured before the session begins.
- If the Client postpones or cancels the on-location services less than 48 hours before the scheduled time, a cancellation fee of up to 50% of the agreed-upon rate may be charged. This will depend on the notice period and any non-recoverable costs already incurred by the Studio.
Working with Models and Crew for Photo/Video Sessions
If the Studio is hired to manage the production for a photo or video session involving models or other crew members, the Studio will be responsible for the following, as per the agreed fee:
- Arranging and compensating all models and crew members, including any additional costs such as wardrobe, styling, makeup, or travel expenses, as discussed and agreed upon with the Client in advance. These costs will be included in the final invoice.
- Securing written model release forms and contracts, ensuring that the Studio and the Client have the necessary rights to use the images or footage as agreed upon in the contract.
- Ensuring that all models and crew members provided by the Studio are present and prepared for the session. In the event that a model or crew member withdraws due to illness or other reasons, the Studio will make reasonable efforts to find a replacement, though additional fees may apply.
- Providing food, drinks, and reasonable breaks for the models and crew members during long sessions, ensuring that they are well taken care of for the duration of the shoot.
- The Studio will take reasonable safety precautions during the session. However, the Studio is not liable for any injuries or accidents that may occur, provided appropriate safety measures are in place.
- For projects involving minors as models, the Studio will ensure that written parental or guardian consent is obtained before the session.
If the Client wishes to handle the production themselves, they, and not the Studio, will be responsible for all arrangements related to models, crew members, and any other production elements, including but not limited to the list above.
If anything goes wrong during the production managed by the Client (e.g., models or crew not showing up, lack of proper releases, delays, etc.), the Studio will not be held liable for any issues or delays caused. Regardless of the outcome, the Client agrees to transfer the full payment to the Studio as originally agreed upon.
Delivery, Acceptance, and Revisions
- The standard delivery time for Amazon product photography projects is 15–20 business days. For product photography projects, the delivery time is 10–15 business days. For other types of projects, the timeframe must be discussed separately. High-scope projects may take more time. This timeframe, as well as any timeframe discussed with the Client, is an estimation and not an obligation.
- All the timeframes start not from the moment the order is made, but from the actual start of work. The work usually begins after the deposit or full payment is made. However, due to other projects in the pipeline, the start of a project may be delayed. It is the Client’s responsibility to enquire about the delivery time. The Studio works according to an internal schedule and will inform the Client about the progress and expected delivery times upon request.
- The results of the work will be delivered by email as soon as we finish the work stages.
- The Studio will make the best effort to deliver the project on time and to the Client’s satisfaction. However, the Studio will not be responsible for any damages or losses of the Client, such as indirect, incidental, or consequential damages, including but not limited to lost profits, data, or business opportunities resulting from the work provided or caused by delays, dissatisfaction, errors in images, text, graphics, or any other aspect of the project.
- The Studio will not be held responsible for delays or non-performance due to unforeseen circumstances beyond its reasonable control, such as natural disasters, strikes, acts of terrorism, governmental restrictions, pandemics, or other “force majeure” events. In such cases, the Studio will notify the Client and attempt to reach a reasonable solution or schedule adjustment.
- For marketing research services, the Studio will use its best efforts to provide accurate, up-to-date information. However, the Studio does not guarantee the accuracy or completeness of the research findings and assumes no liability for decisions made by the Client based on the findings.
- The Client must approve the images or send a revision request within 10 business days of delivery. Revisions requested later than this will generally not be handled. If no revision request is made within 10 business days, the project is considered approved by the Client.
- Two revisions are included. Any revisions beyond these two will incur extra charges. Each revision request is considered a revision. The Studio requests that all revision requests be sent in one email or discussed in one meeting. In either case, the Client must provide a clear, consolidated list of requested changes. Any additions after this will be considered a new revision.
- The number of changes/fixes in the revision request is not restricted.
- In the case of hourly billing, the Studio does not restrict the number of revisions (see Pricing Models above). However, please note that in this case, all revisions are part of billable hours and do not come as a free extra.
- The Studio reserves the right to discuss the revisions and propose alternatives. We do this out of professionalism and a desire to deliver the most well-performing result possible. In most cases, our approach is data-driven, and we highly recommend that the Client consider our advice.
- We expect revisions to be based on previously approved decisions. Major changes that contradict earlier approvals, or additions that do not change the way something is delivered, but add to the scope of work, may incur additional costs, as they are beyond the scope of typical revisions.
- The final images and files will be uploaded to the cloud with a download link sent to the Client. The link will expire after two months. The Studio is not responsible for keeping files or any assets beyond this timeframe.
Copyright and Usage Rights
Unless specifically requested and agreed upon in writing, the Studio does not automatically engage in confidentiality agreements for services provided. If confidentiality is required, the Client must provide a non-disclosure agreement (NDA) for the Studio to review and sign before the commencement of the project. If the Client wants to purchase the full copyright to the images, this should also be negotiated. Both these options may affect the price of the service.
Otherwise:
- The Studio retains full copyright to all photographs taken and designs prepared during the project. The Studio grants the Client unlimited, exclusive, non-transferrable rights to use or reproduce the images.
- Rights are granted upon full payment as per the price quote.
- The Studio reserves the right to use any images created under this contract for professional samples, displays, website pages, advertising, exhibitions, contests, and other purposes.
- The Studio may list the Client’s business name in the Studio’s client list unless agreed otherwise in writing.
Data Privacy
The Studio respects the privacy of its Clients and adheres to applicable data protection laws, including the GDPR. Personal information provided by the Client will only be used for project completion and will not be shared with third parties without consent.
